英国上市的另类资产管理公司ICG，准备退出马来西亚霸级市场TF Value-Mart，并为手上的多数股权寻找买家，叫价大约13亿令吉。

根据《The Edge》引述消息人士报道，ICG已经开始在市场上试探买家兴趣，看看有没有投资者愿意接手这笔资产。

ICG目前通过旗下投资基金，间接持有TF Value-Mart控股公司Momensi Maju大约81.52%股权，可以说是公司的大股东。

TF Value-Mart总部位于彭亨，目前在全马拥有51家分店，主要集中在二线城市，以价格亲民和新鲜食品作为卖点。公司接下来还计划在雪兰莪和吉打再开两家新店。

消息指出，ICG是在持有TF Value-Mart超过5年后，准备把这笔投资套现。

回到2020年，当时ICG支持TF Value-Mart管理层，从新加坡私募股权公司KV Asia Capital手中收购TF Value-Mart。

当年的交易价格没有正式公布，不过《The Edge》当时曾经报道，TF Value-Mart的估值大约是8亿5000万令吉。

如果这次ICG真的能够以大约13亿令吉出售手上的多数股权，就代表TF Value-Mart的估值，比2020年高了不少。

不过，TF Value-Mart近几年的业绩并不是一路向上。

公司从2014财年到2022财年，连续8年取得净利增长，就算遇到疫情，盈利还是持续增加。

2022财年，TF Value-Mart净利达到7635万令吉。

但到了2023财年，公司净利开始下滑，按年减少16.6%，来到6364万令吉，营业额则减少4%，至17亿9000万令吉。

2024财年情况更加明显，净利大跌62%，只剩下2420万令吉，营业额也跌至16亿8000万令吉。

管理层表示，当时部分消费者的抵制行动，对销售造成了明显影响。

到了2025财年，业绩开始出现复苏，净利回升至3550万令吉，营业额也改善至17亿7000万令吉。

管理层表示，今年上半年销售表现还不错，按年继续增长，不过对下半年就比较谨慎。

主要是因为生活成本越来越高，加上中东局势持续带来不确定性，消费者会不会继续愿意花钱，还是一个很大的问号。

其实，马来西亚超市和霸级市场行业这几年并购动作一直不少。

2023年，Macrovalue收购GCH Retail，拿下马来西亚Giant、Cold Storage、Mercato以及TMC等零售品牌。

今年3月，泰国CP Axtra也宣布，以17亿令吉收购The Food Purveyor，后者旗下包括Village Grocer和Ben’s Independent Grocer。

如今ICG也准备出售TF Value-Mart多数股权，如果交易最后真的落实，马来西亚零售市场可能又会迎来一宗大型并购。

对市场来说，接下来最值得关注的，就是谁会接手TF Value-Mart，以及13亿令吉这个估值，最终有没有买家愿意买单。
