We are pleased to report our first quarter 2026 financial results!

Q1 2026 represented a tremendously important quarter for Scinai as we officially closed our hashtag of Recipharm Israel and Strategic hashtag with Recipharm. This allowed us to realize a tremendous increase not only in our total asset value but also in our total shareholder equity due to a gain from bargain purchase on the transaction of approximately $6.1M.

As we head into the 2H of 2026, Scinai is focused on scaling our CDMO platform, advancing pipeline programs toward key inflection points, and creating long-term shareholder value!

This morning we announced a $2.61 million private placement financing led by institutional life sciences investor, with participation from new and existing investors.

This strategic capital is planned to support the expansion of our CDMO platform and advancement of customer programs.

Today we announced the completion of a strategic reorganization at Scinai that reflects how we are evolving as a company.

Over the past year, we have taken significant steps to build a differentiated CDMO platform alongside our R&D activities, including the acquisition of Recipharm Israel and our collaboration with Recipharm.

With this reorganization, we have now formally consolidated all CDMO activities under Scinai Biopharma Services Ltd., our wholly owned subsidiary, while establishing Scinai Immunotherapeutics as a lean, focused R&D organization.

This structure is designed with a clear objective:

On the CDMO side: to operate as a focused, customer-facing platform with scalable capabilities across biologics and small molecules, supported by access to Recipharm’s global network
On the R&D side: to operate as a capital-efficient biotech focused on advancing high-value programs and engaging with partners and investors

We believe this structure strengthens our ability to create and capture value across both parts of the business, while positioning us for future growth and strategic opportunities!

Today we announced the ex*****on of an updated amendment to the binding option agreement for the of PinCell S.r.l., and the submission of a revised application under the European Funds for the Modern Economy (FENG) SMART Path program.

The Company's revised application seeks €12 million in non-dilutive, non-repayable funding to support a €15 million integrated R&D program for PC111 a fully human monoclonal antibody targeting soluble Fas Ligand (sFasL) for the treatment of pemphigus vulgaris (PV) and Stevens–Johnson Syndrome/Toxic Epidermal Necrolysis (SJS/TEN), representing 80% project co-financing.

The Company expects a funding decision within approximately three to four months following submission.
