Callan Power is significantly expanding its energy assets in the Williston Basin. $CJMB

Callan JMB announced that its wholly owned subsidiary, Callan Power LLC, has entered into a definitive agreement to acquire non-operated working interests in producing oil and gas properties in North Dakota and Montana from The Pfanenstiel Company, LLC.

The $12.5 million acquisition includes interests across 377 producing wells generating approximately 150 BOE/day of current net production, with approximately 85% weighted to crude oil.

An independent reserve report estimates:

• $48.1 million in proved PV-10
• $82.7 million in total 3P PV-10
• Approximately 4.3 million BOE of net proved reserves
• Approximately $2.5 million in illustrative annualized net operating cash flow at $75 WTI
• An illustrative 21.2% unlevered cash return from currently producing wells alone

The portfolio also includes approximately 3,000 net acres held by production and interests in 27 additional wells currently permitted, drilling, awaiting completion or being completed.

Following the previously announced acquisition of Reger Oil assets, the transaction represents another significant step in building Callan Power’s diversified energy platform.

Callan JMB is expanding the leadership team behind Callan Power’s oil and gas development strategy.

Upon closing of the previously announced Reger Oil asset acquisition, Andy Weigman will be designated Senior Vice President of Land and Acquisitions at Callan Power.

Weigman brings 14 years of experience in the Williston Basin, including nine years at Northern Oil and Gas, and has sourced more than $1 billion in potential acquisition opportunities across more than 900 wells.

The appointment will reunite Weigman with Callan Power President Mike Reger, with whom he worked for nearly a decade at Northern Oil and Gas.

At Callan Power, Weigman will help lead land, operations, and acquisitions as the company builds a diversified, scalable non-operated oil and gas portfolio in the Williston Basin.

Callan JMB is pleased to confirm that Michael Reger, founder of Northern Oil and Gas, Inc., will serve as President of Callan Power LLC, effective upon the closing of the Company’s previously announced acquisition of assets from Reger Oil, Inc.

Reger founded Northern Oil and Gas in 2006 and helped build the company from inception into a publicly traded energy business. During its 2018–2019 recapitalization and turnaround, he played an instrumental role in a $650 million recapitalization and approximately $850 million in acquisitions. Northern Oil and Gas has continued to grow and today has a market capitalization of approximately $2.9 billion.

Reger will now bring that energy-sector, transaction, and public-company experience to Callan Power as the subsidiary advances its strategy across oil and gas development, energy resilience, grid reliability, and domestic manufacturing of transformers and other critical electrical equipment.

Callan Power plans to establish its headquarters at the Atlas Complex in Marion, Alabama, with additional manufacturing operations planned in Brewton.

Callan JMB announced that its wholly owned subsidiary, Callan Power LLC, has entered into a definitive agreement to acquire certain Reger Oil assets related to the development of energy reserves in the Williston Basin.

The acquisition will establish a domestic energy-development platform for Callan JMB, anchored by a planned 23-well Red River drilling program scheduled to drill one well per month from May 2027 through March 2029.

Based on current Company assumptions, the program is projected to generate approximately $252 million in cumulative net operating cash flow over the productive life of the wells. It is forecast to achieve positive operating cash flow in its first year of drilling, generate approximately $25 million in net operating cash flow in 2028 and build to approximately $42 million in 2029, when all 23 wells are scheduled to be online.

Upon closing, Michael Reger, Founder and former CEO of Northern Oil and Gas, will become President of Callan Power and join the Callan JMB Board of Directors.

A major step forward for American electrical manufacturing and Alabama.

Callan JMB Inc., Bia Power Systems LLC, and Alabama State University have announced plans for an approximately $60 million advanced transformer and electrical-equipment manufacturing and assembly venture in Brewton, Alabama.

At full planned capacity, the venture is projected to support more than $150 million in annual manufacturing revenue capacity, create an estimated 150 to 250 direct jobs, and generate more than $200 million in regional economic impact over five years.

The planned operation will manufacture and assemble transformers, power-distribution equipment, switchgear, electrical systems and related products serving utilities, data centers, industrial operators, renewable-energy developers and other infrastructure customers across North America.

The project is intended to reshore manufacturing and assembly activity currently performed in China, strengthen domestic supply chains and help address growing demand for the equipment needed to modernize America’s electrical grid.
